National Urban League 2017 Hackathon for Social Justice Official Rules and Regulations (“Official Rules”) 1.Eligibility: The National Urban League Hackathon for Social Justice (the “Hackathon”) is open only to contestants 13 years of age or older (“Entrants”). Employees of the National Urban League or other companies associated with the promotion, execution or support of the Hackathon, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Hackathon is subject to federal, state, and local laws and regulations and is void where prohibited by law. If you are between thirteen (13) years of age and seventeen (17) years of age, your parent or legal guardian must consent to your participation and agree to these Official Rules as evidenced by their signing of the Parental Consent and Waiver and Release. 2.Organizer: The Hackathon is being organized by the National Urban League, with a principal place of business at 120 Wall Street, New York, New York 10005 (the “Organizer”). 3.Agreement to Official Rules: Participation in the Hackathon constitutes Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Organizer, which are final and binding. These Official Rules form a binding legal agreement between Entrant and the National Urban League with respect to the Hackathon. Winning a prize is contingent upon fulfilling all requirements set for the herein. 4.Entry Period: The Hackathon begins at 8:00 A.M. EST on Thursday, July 27, 2017, and ends at 3:00 P.M. EST on Friday, July 28, 2017 (the “Entry Period”). Entries submitted prior to or after the Entry Period will be disqualified. 5.How to Enter: Prior to the Entry Period, visit https://www.eventbrite.com/e/2017-national-urban-league-hackathon-for-social-justice-presented-by-comcast-registration-34869435420 (the “Registration”), and complete the online entry form (the “Entry”) to gain entrance to the Hackathon. Hackathon Entrants compete in teams. Entrants can recruit people to join a team. Each team must have at least one (1) but not more than four (4) people. Registration for the Hackathon will close once the Hackathon begins on Thursday, July 27th, 2017 at 8 A.M. Registration may be closed early, if a total of 20 registered teams is reached. Organizer has the right in its sole discretion to determine whether an Entrant is eligible for the Hackathon. 6.Submissions: During the Hackathon, each Entrant will be asked to create a mobile or Web application that is sustainable on a laptop, tablet or Smartphone device (“Submission”). Additional specifications and details may be provided at the Contest. Each Entrant will have the opportunity to demonstrate their Submission and provide an oral presentation to the judges describing their Submission. 7.Requirements for Submissions: Submissions may not contain any copyrighted elements other than elements owned by the Entrant. Any elements that appear in the Submission, including, without limitation, images, music, audio, speech, or other audiovisual materials used must be entirely original, created and performed by the entrant, or be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of a Submission, in the Organizer’s sole discretion. Organizer may disqualify, at Organizer’s sole discretion, Submissions that are in violation of third party rights or law or regulation and/or use inappropriate or explicit language or images, or display content that Organizer otherwise finds objectionable. 8. Entrant’s Representations: By submitting a Submission, you represent that (a) you are the creator of the Submission, (b) the Submission does not infringe the rights of any third party; and (c) the Submission does not contain any viruses, Trojan horses, worms or other disabling devices or harmful code. 9. Intellectual Property: Entrants will retain ownership of any and all code created prior to or at the Hackathon. Entrants also retain the right to continue working on and using their Hackathon ideas and codes, and any and all codes or ideas created prior to the Hackathon. Submissions become “open source” data and the Organizer is granted an unlimited, irrevocable, perpetual, transferable, royalty-free, worldwide license to use, change and/or distribute the Submissions (not including any hosting or 3rd party libraries not created by the Entrants) for any purpose Organizer deems proper. Submissions must be the original work product of the Entrants and not violate the intellectual property rights or other rights, including but not limited to, copyright, trademark, patent, contract, and/or privacy rights, of any other person or entity, however Submissions may contain open source code as long as each such element of open source code is identified, and the Entrant has complied with applicable open source use terms and conditions. By participating in the Hackathon, each Entrant hereby: • Fully releases and indemnifies the National Urban League and its partners from any and all responsibility, liability or request for compensation for damages that should be made by any third party claiming that the Entrant’s Submission violates said third party’s intellectual property or other right; • Acknowledges that each Submission presented is the property of the presenting Entrant, which takes full responsibility for ensuring such rights of ownership, intellectual property and originality within the limits of the law (e.g. filing of patents and other registrations as appropriate); and • Acknowledges that any publication by the National Urban League of the Submission on web sites or social media will result in the same being visible to the public and that the National Urban League assumes no responsibility for any use and/or abuse of the Submission or any part thereof and/or any development of the Submission or any part thereof and/or related project by any party coming into contact with said Submission online or on social media and hereby waives any right to demand compensation for damages from National Urban League for any reason. 10. Selection of Potential Winners: Submissions and oral presentation of Submissions will be judged by a panel of judges based upon the following criteria (“Judging Criteria”) for each category: • 5 points – Functional – Does it accomplish its stated goal? Does it work? • 5 points – Intuitive – Is it easy to understand and use? Is it creative? • 5 points – Impact – Does it solve a real problem? How many people does it impact? • 5 points – Viability – Would the organization use it? • 5 points – Judge’s Discretion – Points to be awarded at judges’ discretion. In the event of a tie, the winning Entrant will be determined by the judges based on the overall quality. Each member of a winning Entrant, along with all Submissions, is subject to validation by Organizer and/or the judging organization, whose decisions are final and binding in all respects. Each Entrant and each member of a winning Entrant may be required to sign and return, when requested an affidavit of eligibility, a prize/publicity release, and an assignment of rights to a Submission. WINNERS MUST BE PRESENT TO ACCEPT PRICE OR PRIZE WILL BE FOREFEITED. 11. Category Prizes: There is an opportunity to win cash and prizes totaling up to $85,000.00 approximate retail value in accordance with the prize structure below: • $5,000 in cash • $80,000 in prizes Any prize details not specified above will be determined by the Organizer in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Organizer, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Organizer in its sole discretion. All prizes are awarded “AS IS.” The Organizer makes no warranty with respect to any prize or any part thereof. The Organizer is not responsible for prize quality or utility. The winning Entrant is responsible for any and all costs and expenses not listed above including, but not limited to, wireless service, accommodations and travel to the Hackathon. Prizes will be reported as income to the winning Entrant and the winning Entrant will be responsible for all taxes associated with the receipt of a prize. IF THE WINNING ENTRANT IS A TEAM, ALL PRIZES OR ANY PRIZE COMPONENTS WILL BE AWARDED TO THE TEAM AS A WHOLE AND NOT TO EACH INDIVIDUAL MEMBER OF THE WINNNING ENTRANT TEAM. Organizer is not responsible for any disputes among team members concerning prize or prize components. 12. General Conditions: In the event that the operation, security, or administration of the Hackathon is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Organizer may, in its sole discretion, either: (a) suspend the Hackathon to address the impairment and then resume the Hackathon in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize according to the Judging Criteria from among the eligible Submissions received up to the time of the impairment. The Organizer reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Hackathon or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by a person to undermine the legitimate operation of the Hackathon may be a violation of criminal and civil law, and, should such an attempt be made, the Organizer reserves the right to seek damages from any such person to the fullest extent permitted by law. The Organizer’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online Entry, the authorized account holder of the e-mail address used to enter will be deemed to be the Entrant. The “authorized account holder” is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. By entering the Hackathon, each Entrant, and each individual member of an Entrant composed of a team, consents to the use of his/her name, photograph, voice recording and likeness, and any material that s/he has submitted for publicity purposes by the National Urban League, in perpetuity throughout the world, without additional compensation or permission, except where prohibited by law. 13. Warranty, Release and Limitations of Liability: Participants warrant that any materials submitted in this Hackathon are their own original work and, as such, they are the sole and exclusive owner and rights holder of the submitted materials and that they have the right to submit the materials in the Hackathon and grant all required licenses. Each Entrant agrees not to submit any materials that (1) infringes any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity or confidentiality obligations; or (2) otherwise violates the applicable state, federal, or local law. To the maximum extent permitted by law, each Entrant indemnifies and agrees to keep Organizer, and related organizations, and their respective officers, directors, employees, and agents (the “Released Parties”) at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Entrant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each Entrant agrees to defend, indemnify and hold harmless the Released Parties from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees) arising out of or accruing from (a) any Submission or other material uploaded or otherwise provided by the Entrant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by the Entrant in connection with the Hackathon; (c) any non-compliance by the Entrant with these Official Rules; (d) claims brought by persons or entities other than the parties to these Official Rules arising from or related to the Entrant’s involvement with the Hackathon; € acceptance, possession, misuse or use of any prize or participation in any Hackathon-related activity or participation in this Hackathon; (f) any malfunction or other problem with the venue; (g) any error in the collection, processing, or retention of Entry information; or (h) any typographical or other error in the printing, offering or announcement of any prizes or winners. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever against the Released Parties, including, but not limited to, punitive, consequential, direct or indirect damages. 14. Disputes: Except where prohibited, Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Hackathon or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Organizer in connection with the Hackathon, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. 15.Contest Results: Winners may be announced by a National Urban League press release and/or social media channels and website. Winners may also be asked to participate in media interviews. 16. Not an Offer or Contract of Employment: Under no circumstances shall a Submission into the Hackathon, the awarding of a prize, or anything in these Official Rules be construed as an offer or contract of employment and/or an independent contractor relationship with the Organizer.
